Startup Representation
Since its founding, Capstone has launched a large number of promising
startup companies. We often get involved with promising entrepreneurs
at the concept stage when an idea for a great business is little more
than some scribbles on a napkin, or a rough Powerpoint presentation hastily
prepared for potential investors.
If
we share the entrepreneur's vision, we will help make that vision for
a business a reality by helping entrepreneurs formulate and refine their
business models and plans, and by making timely introductions to angel
investors, venture capitalists and potential strategic partners. We closely
advise our entrepreneur clients on company valuations and other important
deal points during the funding process, and then assist them in negotiating
and closing their fundings on advantageous terms.
Our
focus is on assisting our client companies close funding deals as quickly
and as efficiently as possible, so that they can spend more of their time
and energy building their businesses rather than fundraising. We can often
substantially accelerate the funding process through our contacts and
working relationships with angel and venture investors.
Of
course, we also handle all of the associated legal work, such as entity
formation, issuance of founder's stock, creation of a capital structure
that is amenable to outside funding, adoption of a stock option that facilitates
hiring of key personnel, and the closing of sales of preferred stock to
investors. We will draft and negotiate non-disclosure agreements with
potential investors and business partners, and confidentiality agreements
for your potential and existing employees to sign.
